Terms of Use

These Terms of Use (“Terms”) are an agreement between you and QBIT Commerce Inc., the operator of StackCore (“StackCore,” “we,” “us”), governing your use of the StackCore application and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.

1. The Service

StackCore provides tools for managing an Amazon selling business, including analytics and reporting built on data accessed through the Amazon Selling Partner API (“SP-API”) with your authorization. StackCore is an independent application and is not endorsed by, affiliated with, or sponsored by Amazon.com, Inc. or its affiliates (“Amazon”). Amazon and all related marks are trademarks of Amazon.com, Inc. or its affiliates.

2. Accounts

• You must provide accurate registration information and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
• You must be at least 18 years old to use the Service.

3. Amazon Authorization

• You authorize StackCore to access your Amazon Selling Partner account via the SP-API within the permission scopes you grant. You may revoke this authorization at any time in Amazon Seller Central.
• You represent that your use of the Service complies with your agreements with Amazon, including the Amazon Services Business Solutions Agreement, and with applicable Amazon program policies.
• Our collection, use, and retention of data received from Amazon are described in our Privacy Policy and conform to Amazon’s Acceptable Use Policy and Data Protection Policy.

4. Acceptable Use

You agree not to:

• use the Service in violation of any law or third-party right;
• use the Service to access data you are not authorized to access, or attempt to probe, disable, or circumvent its security;
• resell, sublicense, or make the Service available to third parties except as we expressly permit;
• reverse engineer or copy the Service except as permitted by law; or
• use data obtained through the Service for unsolicited communications or for any purpose Amazon prohibits.

5. Fees

Paid plans, if any, are billed as described at the time of purchase. Except where required by law, fees are non-refundable. We may change pricing with at least 30 days’ notice.

6. Intellectual Property

The Service, including its software, design, and content (excluding your data and Amazon’s data), is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription. You retain all rights to the data you submit or that is retrieved from your Amazon account on your behalf.

7. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, if required to comply with law or Amazon policy, or upon reasonable notice for any reason. Upon termination, your data is handled as described in the Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA PROVIDED THROUGH THE SERVICE (INCLUDING DATA FROM AMAZON) WILL BE ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR DECISIONS MADE IN RELIANCE ON THE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE (OR US $100 IF YOU HAVE PAID NOTHING).

10. Indemnification

You will indemnify and hold us harmless from claims arising out of your use of the Service in violation of these Terms, of law, or of your agreements with Amazon.

11. Changes to These Terms

We may update these Terms from time to time. For material changes we will provide notice by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the courts located in Toronto, Ontario, Canada, and each party consents to their jurisdiction.
